Licensing, Intellectual Property and Source Code Access Policy

How Edoo Tecnologia licenses the modules it develops, what the customer may do with them and how we meet compliance, audit and security demands without opening the code.

Edoo Tecnologia has worked for more than 25 years in the development, implementation and maintenance of ERP solutions, specializing in the Odoo ecosystem. As part of our work, we develop our own components, including tax localizations, integrations and complementary modules.

This document establishes the formal guidelines related to licensing, intellectual property and source code access for the solutions provided by Edoo Tecnologia.

1. Nature of the software and licensing

The modules, integrations and other components developed by Edoo Tecnologia are made available under a proprietary, non-exclusive and non-transferable license model.

The right of use granted to the customer is restricted to the scope of the signed contract, and does not imply, under any circumstances:

  • transfer of intellectual property;
  • assignment of rights over the source code;
  • authorization for redistribution or sublicensing.

Use of the software is permitted exclusively for the customer's internal operation, within the established contractual limits.

2. Intellectual property

All source code, logical structure, architecture, integrations, data models and other technical elements developed by Edoo Tecnologia remain the exclusive property of Edoo Tecnologia, regardless of the environment in which they are deployed.

The following are expressly prohibited:

  • copying, reproducing or redistributing the source code;
  • making the code available to third parties, including suppliers or external teams;
  • performing reverse engineering, decompilation or any attempt to reconstruct the internal logic;
  • publishing the code, in whole or in part, in public or private repositories without formal authorization.

3. Source code access

Edoo Tecnologia does not provide direct access to the source code or to the repositories of the proprietary modules it develops. Full operation of the system is ensured through the services provided, without access to the code being necessary for use of the environment.

4. Infrastructure and environment management

When applicable, environments hosted on Odoo.sh or other infrastructures are managed exclusively by the Edoo Tecnologia team while the contractual relationship is in force. This model includes:

  • deployment and version management;
  • technical maintenance;
  • environment access control;
  • support and monitoring.

The customer does not need direct access to the infrastructure for full use of the system, since complete operation is ensured through the services provided.

5. Compliance, audit and information security

Edoo Tecnologia recognizes the importance of requirements related to the LGPD (Lei Geral de Proteção de Dados, the Brazilian General Data Protection Law), to cybersecurity and to audit and certification processes, such as the ISO standards. In this context, it is possible to meet compliance demands through:

  • technical meetings with IT and DevOps teams;
  • presentation of the architecture and operating flows;
  • provision of technical documentation;
  • clarifications about security and development practices.

However, such services do not include providing access to the source code, preserving the intellectual property guidelines.

6. Alignment with Odoo ecosystem practices

The model adopted by Edoo Tecnologia follows practices widely recognized in the Odoo ecosystem, especially regarding the protection of intellectual property. Approaches similar to proprietary licenses, such as the Odoo Proprietary License (OPL-1), applied to commercial modules in the Odoo environment, are used as a conceptual reference.

7. Exceptions and special conditions

Any exception to the guidelines established here must be formalized through:

  • a specific contract;
  • an assignment instrument or differentiated licensing agreement;
  • or a commercial agreement previously approved between the parties.

In the absence of such formalization, all the conditions described in this policy remain valid.

8. Final provisions

This policy reflects the standard model adopted by Edoo Tecnologia and applies to all projects, customers and deliveries that involve proprietary components developed by the company. Continued use of the services implies awareness of and agreement with the terms described here.
